Parties<\/h2>\n\n\n\n<p>This Service Provider Agreement (\u201cAgreement\u201d) is entered into between:<\/p>\n\n\n\n<p><strong>Diventures Club<\/strong>, operated by <strong>Diventures Magazine LTD<\/strong>, a company registered in the United Kingdom (\u201cPlatform\u201d, \u201cDiventures Club\u201d, \u201cwe\u201d, \u201cus\u201d)<\/p>\n\n\n\n<p>and<\/p>\n\n\n\n<p>The individual or entity registering as a service provider on the Platform (\u201cService Provider\u201d, \u201cProvider\u201d, \u201cyou\u201d).<\/p>\n\n\n\n<p>By registering, listing services, or accepting bookings on the Platform, you agree to be bound by this Agreement.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">2. Scope of Agreement<\/h2>\n\n\n\n<p>This Agreement applies to the following provider categories:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Dive Centers<\/li>\n\n\n\n<li>Freelance Technical Instructors<\/li>\n\n\n\n<li>Freelance Scuba Instructors<\/li>\n\n\n\n<li>Freelance Divemasters (Dive Guides)<\/li>\n<\/ul>\n\n\n\n<p><a href=\"https:\/\/diventureshub.com\/club\/vendor-agreement-commercial\/\" data-type=\"page\" data-id=\"644\">Commercial diving schools are governed by a separate agreement (Version B)<\/a>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">3. Independent Contractor Relationship<\/h2>\n\n\n\n<p>The Service Provider acts as an <strong>independent contractor<\/strong>.<\/p>\n\n\n\n<p>Nothing in this Agreement creates:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>An employment relationship<\/li>\n\n\n\n<li>A partnership<\/li>\n\n\n\n<li>A joint venture<\/li>\n\n\n\n<li>An agency relationship<\/li>\n<\/ul>\n\n\n\n<p>The Provider has no authority to bind Diventures Club.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">4. Provider Responsibilities<\/h2>\n\n\n\n<p>The Service Provider is solely responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Delivering services as described<\/li>\n\n\n\n<li>Ensuring diver safety<\/li>\n\n\n\n<li>Maintaining valid certifications and qualifications<\/li>\n\n\n\n<li>Holding appropriate insurance coverage<\/li>\n\n\n\n<li>Providing compliant equipment and facilities<\/li>\n\n\n\n<li>Complying with all local laws, regulations, and training agency standards<\/li>\n<\/ul>\n\n\n\n<p>Diventures Club does not supervise or control service delivery.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">5. Listings &amp; Accuracy<\/h2>\n\n\n\n<p>Providers must ensure that all listing information is:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Accurate<\/li>\n\n\n\n<li>Complete<\/li>\n\n\n\n<li>Up to date<\/li>\n<\/ul>\n\n\n\n<p>Misrepresentation may result in suspension or termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">6. Booking Process<\/h2>\n\n\n\n<p>All bookings are submitted through the Platform as requests.<\/p>\n\n\n\n<p>A booking becomes confirmed only after Provider acceptance.<\/p>\n\n\n\n<p>Providers must:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Respond to booking requests promptly<\/li>\n\n\n\n<li>Honor confirmed bookings<\/li>\n\n\n\n<li>Communicate cancellations immediately<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">7. Payments &amp; Platform Role<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">7.1 Customer Payments<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Customers pay <strong>100% of the service price<\/strong> through the Platform via <strong>Stripe<\/strong><\/li>\n\n\n\n<li>Diventures Club acts as a <strong>payment intermediary<\/strong><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">7.2 Provider Payouts<\/h3>\n\n\n\n<p>Payouts are processed via <strong>Wise<\/strong> based on the following structure:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>50% payout<\/strong> after booking confirmation<\/li>\n\n\n\n<li><strong>50% payout<\/strong> after customer arrival or service commencement<\/li>\n<\/ul>\n\n\n\n<p>Providers must submit valid bank details for payouts.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">8. Commission &amp; Fees<\/h2>\n\n\n\n<p>Diventures Club deducts a <strong>platform commission (up to 25%)<\/strong> from the total booking value before payouts.<\/p>\n\n\n\n<p>Commission covers:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Platform operation<\/li>\n\n\n\n<li>Payment processing<\/li>\n\n\n\n<li>Marketing<\/li>\n\n\n\n<li>Customer support<\/li>\n\n\n\n<li>Dispute handling<\/li>\n<\/ul>\n\n\n\n<p>Commission rates may be updated with notice.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">9. Cancellations &amp; Refund Cooperation<\/h2>\n\n\n\n<p>Providers agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Follow the Platform\u2019s <a href=\"https:\/\/diventureshub.com\/club\/refund_returns\/\" data-type=\"page\" data-id=\"11\">Cancellation &amp; Refund Policy<\/a><\/li>\n\n\n\n<li>Cooperate in refund and dispute resolution<\/li>\n\n\n\n<li>Accept payout adjustments where refunds are issued<\/li>\n<\/ul>\n\n\n\n<p>Providers may be required to return funds already paid in case of valid refunds.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">10. Provider Replacement &amp; Reassignment<\/h2>\n\n\n\n<p>If a Provider:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Cancels a booking<\/li>\n\n\n\n<li>Declines a confirmed request<\/li>\n\n\n\n<li>Becomes unavailable<\/li>\n\n\n\n<li>Closes operations<\/li>\n<\/ul>\n\n\n\n<p>Diventures Club may:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Reassign the booking to another provider<\/li>\n\n\n\n<li>Offer a replacement provider to the customer<\/li>\n\n\n\n<li>Issue refunds where applicable<\/li>\n<\/ul>\n\n\n\n<p>Providers consent to reassignment and waive objections related to reassigned bookings.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">11. Disputes &amp; Chargebacks<\/h2>\n\n\n\n<p>In the event of a dispute or chargeback:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Diventures Club may withhold pending payouts<\/li>\n\n\n\n<li>Providers must supply documentation upon request<\/li>\n\n\n\n<li>Providers may bear financial responsibility where service failure is proven<\/li>\n<\/ul>\n\n\n\n<p>Repeated disputes may result in suspension or termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">12. Insurance &amp; Liability<\/h2>\n\n\n\n<p>Providers must maintain valid insurance covering:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Personal injury<\/li>\n\n\n\n<li>Equipment damage<\/li>\n\n\n\n<li>Professional liability<\/li>\n<\/ul>\n\n\n\n<p>Diventures Club is not liable for Provider actions, omissions, or negligence.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">13. Suspension &amp; Termination<\/h2>\n\n\n\n<p>Diventures Club may suspend or terminate this Agreement if the Provider:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Violates this Agreement<\/li>\n\n\n\n<li>Breaches safety standards<\/li>\n\n\n\n<li>Receives repeated complaints<\/li>\n\n\n\n<li>Engages in fraud or misconduct<\/li>\n<\/ul>\n\n\n\n<p>Termination does not affect obligations incurred prior to termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">14. Data &amp; Privacy<\/h2>\n\n\n\n<p>Providers consent to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Collection of necessary business and bank data<\/li>\n\n\n\n<li>Use of data for bookings, payouts, compliance, and legal obligations<\/li>\n<\/ul>\n\n\n\n<p>Data is handled in accordance with the <a href=\"https:\/\/diventureshub.com\/club\/privacy-policy\/\" data-type=\"page\" data-id=\"639\">Privacy Policy<\/a>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">15. Confidentiality<\/h2>\n\n\n\n<p>Providers must not disclose confidential platform information, pricing structures, or customer data outside the Platform.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">16. Amendments<\/h2>\n\n\n\n<p>Diventures Club may update this Agreement.<\/p>\n\n\n\n<p>Continued use of the Platform constitutes acceptance of revised terms.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">17. Governing Law &amp; Jurisdiction<\/h2>\n\n\n\n<p>This Agreement is governed by the laws of the <strong>United Kingdom<\/strong>.<\/p>\n\n\n\n<p>Any disputes shall be subject to the exclusive jurisdiction of UK courts.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">18. Acceptance<\/h2>\n\n\n\n<p>By registering as a Service Provider on Diventures Club, you confirm that you:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Service Provider Agreement (applicable version)<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/code-of-conduct\/\" data-type=\"page\" data-id=\"641\">Service Provider Code of Conduct<\/a><\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/refund_returns\/\" data-type=\"page\" data-id=\"11\">Cancellation &amp; Refund Policy<\/a><\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/privacy-policy\/\" data-type=\"page\" data-id=\"639\">Privacy Policy<\/a><\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/terms-conditions\/\" data-type=\"page\" data-id=\"633\">Terms &amp; Conditions<\/a><\/li>\n<\/ul>\n\n\n\n<p><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Diventures Club Operated by Diventures Magazine LTD (UK)Service Provider Agreement \u2013 Version A Diventures Club Last updated: 27.12.2025 1.
