Parties<\/h2>\n\n\n\n<p>This Service Provider Agreement (\u201cAgreement\u201d) is entered into between:<\/p>\n\n\n\n<p><strong>Diventures Club<\/strong>, operated by <strong>Diventures Magazine LTD<\/strong>, a company registered in the United Kingdom (\u201cDiventures Club\u201d, \u201cPlatform\u201d, \u201cwe\u201d, \u201cus\u201d)<\/p>\n\n\n\n<p>and<\/p>\n\n\n\n<p>The commercial diving school or legal entity registering on the Platform (\u201cService Provider\u201d, \u201cProvider\u201d, \u201cyou\u201d).<\/p>\n\n\n\n<p>By registering, listing services, or accepting bookings on the Platform, you agree to be bound by this Agreement.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">2. Scope of Agreement<\/h2>\n\n\n\n<p>This Agreement applies <strong>exclusively<\/strong> to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Commercial Diving Schools<\/li>\n\n\n\n<li>Industrial, professional, or occupational diving training facilities<\/li>\n<\/ul>\n\n\n\n<p>Recreational dive centers, freelance instructors, and divemasters are governed by <a href=\"https:\/\/diventureshub.com\/club\/vendor-agreement\/\" data-type=\"page\" data-id=\"644\"><strong>Service Provider Agreement \u2013 Version A<\/strong>.<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">3. Independent Contractor Relationship<\/h2>\n\n\n\n<p>The Service Provider operates as an <strong>independent contractor<\/strong>.<\/p>\n\n\n\n<p>Nothing in this Agreement creates:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>An employment relationship<\/li>\n\n\n\n<li>A partnership<\/li>\n\n\n\n<li>A joint venture<\/li>\n\n\n\n<li>An agency relationship<\/li>\n<\/ul>\n\n\n\n<p>The Provider has no authority to represent or bind Diventures Club.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">4. Provider Responsibilities &amp; Compliance<\/h2>\n\n\n\n<p>The Provider is solely responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Delivering commercial diving training and services<\/li>\n\n\n\n<li>Compliance with all applicable <strong>national and international commercial diving regulations<\/strong><\/li>\n\n\n\n<li>Maintaining required licenses, approvals, and accreditations<\/li>\n\n\n\n<li>Employing qualified and certified personnel<\/li>\n\n\n\n<li>Maintaining appropriate <strong>commercial and professional insurance coverage<\/strong><\/li>\n\n\n\n<li>Ensuring safety, training standards, and operational compliance<\/li>\n<\/ul>\n\n\n\n<p>Diventures Club does not supervise or control training operations.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">5. Listings &amp; Service Descriptions<\/h2>\n\n\n\n<p>Providers must ensure that all listings, descriptions, schedules, and pricing are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Accurate<\/li>\n\n\n\n<li>Transparent<\/li>\n\n\n\n<li>Professionally represented<\/li>\n\n\n\n<li>Compliant with applicable laws and standards<\/li>\n<\/ul>\n\n\n\n<p>Misrepresentation may result in immediate suspension or termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">6. Booking &amp; Acceptance Process<\/h2>\n\n\n\n<p>All bookings submitted through the Platform are <strong>requests<\/strong>, not guarantees.<\/p>\n\n\n\n<p>A booking becomes confirmed only after:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Provider acceptance, and<\/li>\n\n\n\n<li>Payment completion by the customer<\/li>\n<\/ul>\n\n\n\n<p>Providers must respond to booking requests within a reasonable timeframe.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">7. Payments &amp; Platform Role<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">7.1 Customer Payments<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Customers pay <strong>100% of the service price<\/strong> through the Platform via <strong>Stripe<\/strong><\/li>\n\n\n\n<li>Payments are processed in <strong>USD<\/strong><\/li>\n\n\n\n<li>Diventures Club acts solely as a <strong>payment intermediary<\/strong><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">7.2 Provider Payouts<\/h3>\n\n\n\n<p>Provider payouts are processed via <strong>Wise<\/strong>, according to terms agreed between the parties.<\/p>\n\n\n\n<p>Payout structures may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Staged payouts<\/li>\n\n\n\n<li>Milestone-based payouts<\/li>\n\n\n\n<li>Custom payout schedules<\/li>\n<\/ul>\n\n\n\n<p>Specific payout terms may be agreed in writing and override default structures.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">8. Commission Structure<\/h2>\n\n\n\n<p>Commission for Commercial Diving Schools is <strong>not fixed<\/strong> and may vary based on:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Facility policy<\/li>\n\n\n\n<li>Service type<\/li>\n\n\n\n<li>Contractual agreement<\/li>\n<\/ul>\n\n\n\n<p>Commission rates will be:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Agreed in writing<\/li>\n\n\n\n<li>Clearly disclosed before listing activation<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">9. Cancellations, Refunds &amp; Adjustments<\/h2>\n\n\n\n<p>Providers agree to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Follow the Platform\u2019s <strong><a href=\"https:\/\/diventureshub.com\/club\/refund_returns\/\" data-type=\"page\" data-id=\"11\">Cancellation &amp; Refund Policy<\/a><\/strong><\/li>\n\n\n\n<li>Cooperate fully in dispute resolution<\/li>\n\n\n\n<li>Accept payout adjustments where refunds are issued<\/li>\n<\/ul>\n\n\n\n<p>Refunds may be:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Full<\/li>\n\n\n\n<li>Partial<\/li>\n\n\n\n<li>Pro-rated<\/li>\n<\/ul>\n\n\n\n<p>depending on service status and contractual terms.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">10. Provider Replacement &amp; Service Continuity<\/h2>\n\n\n\n<p>If a Provider:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Cancels<\/li>\n\n\n\n<li>Becomes unavailable<\/li>\n\n\n\n<li>Fails to deliver services<\/li>\n<\/ul>\n\n\n\n<p>Diventures Club may:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Offer alternative solutions<\/li>\n\n\n\n<li>Refer customers to another qualified provider<\/li>\n\n\n\n<li>Issue refunds where applicable<\/li>\n<\/ul>\n\n\n\n<p>No reassignment will occur without customer confirmation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">11. Disputes &amp; Chargebacks<\/h2>\n\n\n\n<p>In the event of disputes or chargebacks:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Diventures Club may withhold pending payouts<\/li>\n\n\n\n<li>Providers must supply documentation and cooperation<\/li>\n\n\n\n<li>Providers may be financially responsible for confirmed service failures<\/li>\n<\/ul>\n\n\n\n<p>Repeated disputes may result in suspension or termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">12. Insurance &amp; Liability<\/h2>\n\n\n\n<p>Providers must maintain insurance covering:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Commercial and occupational diving risks<\/li>\n\n\n\n<li>Professional liability<\/li>\n\n\n\n<li>Equipment and facility liability<\/li>\n<\/ul>\n\n\n\n<p>Diventures Club bears <strong>no responsibility<\/strong> for Provider operations, negligence, or regulatory non-compliance.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">13. Suspension &amp; Termination<\/h2>\n\n\n\n<p>Diventures Club may suspend or terminate this Agreement if the Provider:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Breaches this Agreement<\/li>\n\n\n\n<li>Violates safety or compliance standards<\/li>\n\n\n\n<li>Misrepresents services<\/li>\n\n\n\n<li>Engages in fraudulent or unlawful conduct<\/li>\n<\/ul>\n\n\n\n<p>Termination does not affect obligations incurred prior to termination.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">14. Data Protection &amp; Confidentiality<\/h2>\n\n\n\n<p>Providers consent to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Collection and processing of operational, financial, and compliance data<\/li>\n\n\n\n<li>Use of data strictly for platform operation, payouts, and legal obligations<\/li>\n<\/ul>\n\n\n\n<p>Confidential information must not be disclosed to third parties.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">15. Amendments<\/h2>\n\n\n\n<p>Diventures Club may amend this Agreement with reasonable notice.<\/p>\n\n\n\n<p>Continued participation on the Platform constitutes acceptance of revised terms.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">16. Governing Law &amp; Jurisdiction<\/h2>\n\n\n\n<p>This Agreement is governed by the laws of the <strong>United Kingdom<\/strong>.<\/p>\n\n\n\n<p>Any disputes shall be subject to the exclusive jurisdiction of UK courts.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">17. Acceptance<\/h2>\n\n\n\n<p>By registering as a Commercial Diving School on Diventures Club, you confirm that you:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Service Provider Agreement (applicable version)<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/code-of-conduct\/\" data-type=\"page\" data-id=\"641\">Service Provider Code of Conduct<\/a><\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/refund_returns\/\" data-type=\"page\" data-id=\"11\">Cancellation &amp; Refund Policy<\/a><\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/privacy-policy\/\" data-type=\"page\" data-id=\"639\">Privacy Policy<\/a><\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><a href=\"https:\/\/diventureshub.com\/club\/terms-conditions\/\" data-type=\"page\" data-id=\"633\">Terms &amp; Conditions<\/a><\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Service Provider Agreement \u2013 Version B Commercial Diving SchoolsDiventures Club Last updated: 27.12.2025 1.
