1. Parties

This Service Provider Agreement (“Agreement”) is entered into between:

Diventures Club, operated by Diventures Magazine LTD, a company registered in the United Kingdom (“Diventures Club”, “Platform”, “we”, “us”)

and

The commercial diving school or legal entity registering on the Platform (“Service Provider”, “Provider”, “you”).

By registering, listing services, or accepting bookings on the Platform, you agree to be bound by this Agreement.


2. Scope of Agreement

This Agreement applies exclusively to:

  • Commercial Diving Schools
  • Industrial, professional, or occupational diving training facilities

Recreational dive centers, freelance instructors, and divemasters are governed by Service Provider Agreement – Version A.


3. Independent Contractor Relationship

The Service Provider operates as an independent contractor.

Nothing in this Agreement creates:

  • An employment relationship
  • A partnership
  • A joint venture
  • An agency relationship

The Provider has no authority to represent or bind Diventures Club.


4. Provider Responsibilities & Compliance

The Provider is solely responsible for:

  • Delivering commercial diving training and services
  • Compliance with all applicable national and international commercial diving regulations
  • Maintaining required licenses, approvals, and accreditations
  • Employing qualified and certified personnel
  • Maintaining appropriate commercial and professional insurance coverage
  • Ensuring safety, training standards, and operational compliance

Diventures Club does not supervise or control training operations.


5. Listings & Service Descriptions

Providers must ensure that all listings, descriptions, schedules, and pricing are:

  • Accurate
  • Transparent
  • Professionally represented
  • Compliant with applicable laws and standards

Misrepresentation may result in immediate suspension or termination.


6. Booking & Acceptance Process

All bookings submitted through the Platform are requests, not guarantees.

A booking becomes confirmed only after:

  • Provider acceptance, and
  • Payment completion by the customer

Providers must respond to booking requests within a reasonable timeframe.


7. Payments & Platform Role

7.1 Customer Payments

  • Customers pay 100% of the service price through the Platform via Stripe
  • Payments are processed in USD
  • Diventures Club acts solely as a payment intermediary

7.2 Provider Payouts

Provider payouts are processed via Wise, according to terms agreed between the parties.

Payout structures may include:

  • Staged payouts
  • Milestone-based payouts
  • Custom payout schedules

Specific payout terms may be agreed in writing and override default structures.


8. Commission Structure

Commission for Commercial Diving Schools is not fixed and may vary based on:

  • Facility policy
  • Service type
  • Contractual agreement

Commission rates will be:

  • Agreed in writing
  • Clearly disclosed before listing activation

9. Cancellations, Refunds & Adjustments

Providers agree to:

  • Follow the Platform’s Cancellation & Refund Policy
  • Cooperate fully in dispute resolution
  • Accept payout adjustments where refunds are issued

Refunds may be:

  • Full
  • Partial
  • Pro-rated

depending on service status and contractual terms.


10. Provider Replacement & Service Continuity

If a Provider:

  • Cancels
  • Becomes unavailable
  • Fails to deliver services

Diventures Club may:

  • Offer alternative solutions
  • Refer customers to another qualified provider
  • Issue refunds where applicable

No reassignment will occur without customer confirmation.


11. Disputes & Chargebacks

In the event of disputes or chargebacks:

  • Diventures Club may withhold pending payouts
  • Providers must supply documentation and cooperation
  • Providers may be financially responsible for confirmed service failures

Repeated disputes may result in suspension or termination.


12. Insurance & Liability

Providers must maintain insurance covering:

  • Commercial and occupational diving risks
  • Professional liability
  • Equipment and facility liability

Diventures Club bears no responsibility for Provider operations, negligence, or regulatory non-compliance.


13. Suspension & Termination

Diventures Club may suspend or terminate this Agreement if the Provider:

  • Breaches this Agreement
  • Violates safety or compliance standards
  • Misrepresents services
  • Engages in fraudulent or unlawful conduct

Termination does not affect obligations incurred prior to termination.


14. Data Protection & Confidentiality

Providers consent to:

  • Collection and processing of operational, financial, and compliance data
  • Use of data strictly for platform operation, payouts, and legal obligations

Confidential information must not be disclosed to third parties.


15. Amendments

Diventures Club may amend this Agreement with reasonable notice.

Continued participation on the Platform constitutes acceptance of revised terms.


16. Governing Law & Jurisdiction

This Agreement is governed by the laws of the United Kingdom.

Any disputes shall be subject to the exclusive jurisdiction of UK courts.


17. Acceptance

By registering as a Commercial Diving School on Diventures Club, you confirm that you:

  • Service Provider Agreement (applicable version)
