Service Provider Agreement – Version A

1. Parties

This Service Provider Agreement (“Agreement”) is entered into between:

Diventures Club, operated by Diventures Magazine LTD, a company registered in the United Kingdom (“Platform”, “Diventures Club”, “we”, “us”)

and

The individual or entity registering as a service provider on the Platform (“Service Provider”, “Provider”, “you”).

By registering, listing services, or accepting bookings on the Platform, you agree to be bound by this Agreement.


2. Scope of Agreement

This Agreement applies to the following provider categories:

  • Dive Centers
  • Freelance Technical Instructors
  • Freelance Scuba Instructors
  • Freelance Divemasters (Dive Guides)

Commercial diving schools are governed by a separate agreement (Version B).


3. Independent Contractor Relationship

The Service Provider acts as an independent contractor.

Nothing in this Agreement creates:

  • An employment relationship
  • A partnership
  • A joint venture
  • An agency relationship

The Provider has no authority to bind Diventures Club.


4. Provider Responsibilities

The Service Provider is solely responsible for:

  • Delivering services as described
  • Ensuring diver safety
  • Maintaining valid certifications and qualifications
  • Holding appropriate insurance coverage
  • Providing compliant equipment and facilities
  • Complying with all local laws, regulations, and training agency standards

Diventures Club does not supervise or control service delivery.


5. Listings & Accuracy

Providers must ensure that all listing information is:

  • Accurate
  • Complete
  • Up to date

Misrepresentation may result in suspension or termination.


6. Booking Process

All bookings are submitted through the Platform as requests.

A booking becomes confirmed only after Provider acceptance.

Providers must:

  • Respond to booking requests promptly
  • Honor confirmed bookings
  • Communicate cancellations immediately

7. Payments & Platform Role

7.1 Customer Payments

  • Customers pay 100% of the service price through the Platform via Stripe
  • Diventures Club acts as a payment intermediary

7.2 Provider Payouts

Payouts are processed via Wise based on the following structure:

  • 50% payout after booking confirmation
  • 50% payout after customer arrival or service commencement

Providers must submit valid bank details for payouts.


8. Commission & Fees

Diventures Club deducts a platform commission (up to 25%) from the total booking value before payouts.

Commission covers:

  • Platform operation
  • Payment processing
  • Marketing
  • Customer support
  • Dispute handling

Commission rates may be updated with notice.


9. Cancellations & Refund Cooperation

Providers agree to:

  • Follow the Platform’s Cancellation & Refund Policy
  • Cooperate in refund and dispute resolution
  • Accept payout adjustments where refunds are issued

Providers may be required to return funds already paid in case of valid refunds.


10. Provider Replacement & Reassignment

If a Provider:

  • Cancels a booking
  • Declines a confirmed request
  • Becomes unavailable
  • Closes operations

Diventures Club may:

  • Reassign the booking to another provider
  • Offer a replacement provider to the customer
  • Issue refunds where applicable

Providers consent to reassignment and waive objections related to reassigned bookings.


11. Disputes & Chargebacks

In the event of a dispute or chargeback:

  • Diventures Club may withhold pending payouts
  • Providers must supply documentation upon request
  • Providers may bear financial responsibility where service failure is proven

Repeated disputes may result in suspension or termination.


12. Insurance & Liability

Providers must maintain valid insurance covering:

  • Personal injury
  • Equipment damage
  • Professional liability

Diventures Club is not liable for Provider actions, omissions, or negligence.


13. Suspension & Termination

Diventures Club may suspend or terminate this Agreement if the Provider:

  • Violates this Agreement
  • Breaches safety standards
  • Receives repeated complaints
  • Engages in fraud or misconduct

Termination does not affect obligations incurred prior to termination.


14. Data & Privacy

Providers consent to:

  • Collection of necessary business and bank data
  • Use of data for bookings, payouts, compliance, and legal obligations

Data is handled in accordance with the Privacy Policy.


15. Confidentiality

Providers must not disclose confidential platform information, pricing structures, or customer data outside the Platform.


16. Amendments

Diventures Club may update this Agreement.

Continued use of the Platform constitutes acceptance of revised terms.


17. Governing Law & Jurisdiction

This Agreement is governed by the laws of the United Kingdom.

Any disputes shall be subject to the exclusive jurisdiction of UK courts.


18. Acceptance

By registering as a Service Provider on Diventures Club, you confirm that you:
